1. Eligibility. Giveaway is open to persons who are legal residents of the 50 United States including the District of Columbia, and Canada excluding the province of Quebec, age 21 or older. Employees of Sponsor, or their related companies or agents, and their immediate family members (including mother, father, sister, brother, daughter, son, grandchild, in-laws or guardians, and a spouse, partner or companion of any of them), regardless of where they live; or persons who reside in the same household (whether related or not), are not eligible.

2. How to enter. To enter the First Lite Dedicated Giveaway Contest: During the Submission Period between September 13, 2024 and November 14, 2024, Like the First Lite Dedicated Instagram post and tag two (2) friends. Create and post your content to Instagram, tagging First Lite and using the hashtag #FLDedicated.

Photo/Video Content (“Content”) Rules:

• Content must not include a competitor's apparel.
• By entering, you warrant that the content you submit is original and is your own, and does not infringe on the rights of any third party. You further warrant that your participation in this contest does not violate any agreement between you and a third party.
• By entering the contest, you grant First Lite the non-exclusive right to publish, use, distribute, reproduce and publicly display your content, and to create derivative works from your content, in perpetuity, in any of its online, print or other media publications, materials or exhibitions, for promotional purposes, including but not limited to for editorial, advertising, and publicity, without payment or compensation unless prohibited by law. You grant First Lite permission to use your name, your likeness, and your city and state of residence, when publishing, reproducing or otherwise using your content and when identifying you as an entrant or prize winner in the contest. Subject to the rights granted to First Lite, you retain all other copyrights and rights to future use of the content you enter into the contest.
• If your content includes a recognizable person or people, you must secure permission from each person (or in the case of a minor, the minor's parent or guardian) to use his/her image in the contest, and present it to First Lite, if requested. Sponsor reserves the right to disqualify an entry if it finds, in its sole discretion, that an entrant has not secured a necessary release.
• Any content containing offensive content will not be eligible. All content must be appropriate for posting on a website that may be viewed by anyone. Obscene, provocative or otherwise questionable content will not be considered, and will result in disqualification from the contest. First Lite retains sole discretion to determine what constitutes inappropriate content.
• First Lite reserves the right to modify content to fit spatial and branding requirements.

3. Selection of winners. The First Lite Dedicated Contest winners will be chosen by a panel of First Lite judges. Two winners will be selected - one each in the month of October and November. The selection of finalists will be at the sole discretion of the First Lite panel of judges. Each winner will be featured on the First Lite Instagram account when announced. One winner will be announced on October 15, 2024, and the second winner announced on November 15, 2024.

If potential winner is a Canadian resident, he/she must correctly answer a mathematical skill testing question as a condition of being awarded the prize.

4. Prizes. Each winner will receive a $1000 First Lite gift card issued via digital code, redeemable at firstlite.com

Approximate Retail Value (“ARV”) of Grand Prize $1,000. Tax reporting required. Prize and its components may not be transferred, substituted or redeemed for cash, except as expressly permitted in these Rules; provided, that Sponsor may substitute prize or any component of equal or greater value due to prize availability. In the event winner is unable to accept prize for any reason, and notifies Sponsor prior to December 1st, 2024, a new winner will be selected following the procedures outlined above.

• a. This Promotion is not open to competition associations or automated competition entry services. Any use of such automated devices will cause disqualification. Sponsor reserves the right, at its sole discretion, to disqualify any individual (and his or her Contest entry) who tampers with the entry or voting process. Sponsor reserves the right to cancel or suspend this Contest should fraud, virus, bug or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the Contest. Sponsor is not responsible for computer system, phone line, hardware, software or program malfunctions or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature.
• b. All entrants must have a valid email address at time of entry. In the event of a dispute regarding the identity of the person submitting an electronic entry, the entry will be deemed to be submitted by the "Authorized Holder" in whose name the email account is registered, provided that person meets all eligibility criteria set forth in the Eligibility section of these Official Rules. "Authorized Holder" shall mean the natural person assigned to an email address by an Internet Access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Please see Sponsor’s privacy policy for details of the Contest policy regarding the personal information collected in connection with this Contest.

6) Release and Other Conditions. By accepting the prize, winner agrees that Sponsor, Prize Providers and their respective officers, directors, employees, agents and successors (i) have no liability or responsibility for any injuries, losses or damages of any kind including personal injury or death resulting from the acceptance, possession or use of the prize and will be held harmless against any claims of liability arising directly or indirectly from the prize; and (ii) may use winner’s name, city/state, likeness, biographical information, voice, or statements attributed to winner (if true), for publication, advertising and promotional purposes in any media, without additional consideration, where lawful.

7) Administration of Giveaway. Sponsor is not responsible for any computer or human error or interference which compromises the administration or proper play of the Giveaway. Sponsor reserves the right in its sole discretion to cancel or modify the Giveaway. All federal, state and local laws and regulations apply. Void where prohibited or restricted by law. All decisions of Sponsor are final.
